Agreement and parties
This Research Access and Use Agreement (the “Agreement”) is a legally binding agreement between Stack Research LLC, a Wyoming limited liability company with the mailing address stated below (“Stack Research,” “we,” “us,” or “our”), and the individual accepting it (“you”). If you accept for a company, clinic, university, laboratory, distributor, or other organization (“Organization”), you represent and warrant that you have actual authority to bind it. If you have that authority, the Organization is also a party and references to “you” include it where the context permits. Whether or not the Organization is bound, you remain responsible for your representations, your conduct, and activity through your account. Do not accept for or use the name of an Organization if you lack authority.

Eligibility, capacity, and authority
You represent and warrant that you are at least 21 years old; can enter a binding contract; are acting in a professional or organizational capacity and not for personal, family, household, patient, or consumer use; have provided complete and accurate identity, contact, Organization, and research-category information; and are appropriately qualified and authorized to access research information and make inquiries. Stack Research may require supporting records and may approve, deny, or revoke access in its discretion. Email verification is an account-security procedure, not identity-document, professional-license, institutional-authority, customer-eligibility, end-use, or legal-permission verification.

Solely lawful laboratory research
The site, catalog, documents, samples, and any products or materials discussed through Stack Research are offered solely for bona fide, lawful in-vitro laboratory research or analytical use by appropriately qualified and authorized persons in suitable facilities. They are not offered or intended for use in or on humans or animals; as a drug, biologic, dietary supplement, food, cosmetic, medical device, consumer product, or compounding ingredient for humans or animals; or for clinical use, diagnosis, cure, mitigation, treatment, prevention of disease, alteration of body structure or function, household use, or self-experimentation.

Prohibited conduct and diversion
You must not ingest, inject, inhale, apply, implant, administer, prescribe, dispense, compound, formulate, or use any catalog material in or on a human or animal. You must not repackage, relabel, promote, recommend, distribute, resell, transfer, or make a material available unless Stack Research expressly authorizes the specific lawful research transfer in writing and the recipient independently satisfies all applicable requirements. You must not provide dosing, cycle, therapeutic, body-composition, performance, anti-aging, weight-loss, or other human- or animal-use guidance; make a health or body-function claim; evade a restriction; misrepresent identity, credentials, intended use, end user, or destination; remove or obscure a research-use warning; or divert a material to a person you know or reasonably should know may use it unlawfully. You must promptly notify Stack Research of suspected diversion, unauthorized access or use, or a material safety, identity, labeling, or integrity concern connected to your account or inquiry.

Legal and institutional compliance
You and any bound Organization are solely responsible for determining and continuously maintaining all licenses, registrations, permits, approvals, research protocols, ethics or institutional reviews, trained personnel, suitable facilities, hazard controls, chain-of-custody and other records, transportation permissions, import or export permissions, end-user and destination screening, storage conditions, spill and incident procedures, and disposal requirements applicable to your location, Organization, research, and materials. You must comply with all applicable federal, state, local, sanctions, export-control, occupational-safety, environmental, transportation, and other laws and rules. You may not rely on this Agreement, access approval, the website, a communication, product label, certificate, or research-use legend as authorization for conduct otherwise regulated or prohibited.

No medical, clinical, or regulatory advice
Stack Research does not practice medicine, pharmacy, veterinary medicine, toxicology, law, or regulatory consulting through the site. We do not provide patient-specific advice, diagnoses, prescriptions, dosing, administration instructions, treatment recommendations, clinical protocols, or assurances that a material is safe, effective, approved, cleared, lawful, or appropriate for any use. Website information is general research-reference information and is not a substitute for independent professional, institutional, legal, or regulatory review.

Catalog and documentation limitations
Names, configurations, technical references, images, certificates, analytical reports, purity figures, safety information, and other documents may be provisional, supplier-provided, lot- or sample-specific, method-dependent, incomplete, superseded, or unavailable. A document applies only to the material, lot or sample, laboratory, method, and date it expressly identifies and must not be altered or represented as applying more broadly. No catalog statement or document is a representation of clinical suitability, sterility, safety, efficacy, merchantability, regulatory status or approval, or fitness for a particular purpose. You must independently evaluate identity, quality, hazards, methods, controls, legal status, and suitability before any lawful research use and must not rely on website content as the sole basis for a safety or compliance decision.

Material hazards and assumption of risk
Research materials may have unknown, incompletely characterized, or material chemical, biological, toxicological, environmental, handling, storage, transport, contamination, exposure, and disposal hazards. They may not be sterile, pyrogen-free, pharmaceutical grade, suitable for a particular method, or tested for every relevant hazard. You and any bound Organization knowingly and voluntarily assume all risks arising from selection, acquisition, possession, transport, receipt, storage, handling, testing, research, transfer, spill, exposure, contamination, loss, and disposal, including risks that are presently unknown or not reasonably foreseeable, except to the extent applicable law does not permit that risk to be assumed. You are responsible for independent hazard assessment, qualified personnel, suitable facilities, personal protective equipment, containment, emergency procedures, and insurance appropriate to the work.

Account security and accurate records
You must maintain control of the verified email and devices used for your account, promptly update account information, prevent unauthorized access, and notify Stack Research immediately at support@stack-research.com if credentials, email access, or an agreement record may be compromised. Actions completed through your verified email or authenticated session may be attributed to you to the extent permitted by law. You may not create an account for another person without authority or impersonate any person or Organization.

Inquiries are not accepted orders
Catalog access, account creation, documentation, correspondence, proposed pricing, quotations, and “Contact to purchase” inquiries do not obligate Stack Research to sell or supply anything and do not create an order, purchase contract, agency, partnership, fiduciary relationship, or exclusive dealing arrangement. Stack Research may conduct additional customer, end-use, product, destination, and transaction review; request supporting documentation; decline or cancel a request; restrict access; or impose additional terms. A future sale exists only after Stack Research gives express written acceptance through its authorized process and all stated conditions are met. Separate transaction terms govern an accepted sale, but no oral statement or transaction document authorizes unlawful, human, veterinary, or other prohibited use.

Electronic records, consent, and signature
You consent to receive, use, sign, and retain this Agreement, account notices, disclosures, and related records electronically; this consent does not enroll you in marketing. By selecting the unchecked agreement checkbox and successfully entering the six-digit code sent to the submitted email address, you affirm the required disclosure, intend to sign, and adopt those combined actions as your electronic signature to the displayed version. You need a current web browser, internet access, a working email account, and software capable of displaying and saving or printing webpages and PDF files. You may print or save the public Agreement before acceptance and download your receipt afterward. You may request a paper copy without charge or withdraw consent for future electronic records by emailing support@stack-research.com. Withdrawal has no effect on prior consent, signatures, or records and may require closure of electronic account access; there is no withdrawal fee. You must keep your email current. If required technology changes materially, Stack Research will provide notice and obtain renewed consent when applicable law requires.

Agreement evidence and privacy
Stack Research may retain the accepted Agreement text and version, required disclosure, your submitted account fields, verified email, presentation and acceptance times, linked verification and account identifiers, verification method, and an integrity record as evidence of the transaction and for security, compliance, support, dispute, and legal purposes. The downloadable receipt is evidence of the electronic process; it is not a notarization, biometric signature, identity-document check, professional-license verification, institutional credential, or guarantee of identity or authority. Stack Research handles personal information as described in the posted Privacy Policy and applicable law. The Privacy Policy is a notice of data practices and is not incorporated as a contractual promise except where applicable law provides otherwise.

Suspension and termination
Stack Research may suspend, restrict, or terminate account or catalog access, preserve relevant records, refuse communications or requests, and cooperate with lawful authorities if we reasonably suspect inaccurate information, unauthorized access, prohibited use, diversion, fraud, safety risk, legal noncompliance, or breach of this Agreement. You may stop using the site and request account closure, subject to lawful record-retention obligations. Sections that by their nature should survive termination—including prohibited-use, records, warranty, liability, indemnity, governing-law, and general provisions—will survive.

Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, ACCOUNT, CATALOG, CONTENT, DOCUMENTS, AND COMMUNICATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” STACK RESEARCH DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, AVAILABILITY, AND RESULTS. STACK RESEARCH DOES NOT WARRANT THAT ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY INFORMATION OR MATERIAL WILL MEET YOUR REQUIREMENTS. RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED ARE NOT DISCLAIMED.

Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACK RESEARCH AND ITS MEMBERS, MANAGERS, PERSONNEL, CONTRACTORS, SUPPLIERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, DATA, RESEARCH, BUSINESS, OR OPPORTUNITY; OR DAMAGES ARISING FROM UNAUTHORIZED, PROHIBITED, OR UNLAWFUL USE. THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THIS SITE, ACCOUNT, OR AGREEMENT WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNT YOU PAID DIRECTLY TO STACK RESEARCH FOR THE TRANSACTION GIVING RISE TO THE CLAIM DURING THE PRECEDING TWELVE MONTHS. THIS SECTION DOES NOT LIMIT LIABILITY THAT APPLICABLE LAW PROHIBITS LIMITING, INCLUDING LIABILITY FINALLY DETERMINED TO RESULT FROM FRAUD, WILLFUL MISCONDUCT, OR GROSS NEGLIGENCE.

Release and covenant not to sue
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU, ANY BOUND ORGANIZATION, AND EACH OF YOUR RESPECTIVE SUCCESSORS, PERSONAL REPRESENTATIVES, HEIRS, AND PERMITTED ASSIGNS RELEASE AND DISCHARGE STACK RESEARCH AND ITS MEMBERS, MANAGERS, PERSONNEL, CONTRACTORS, SUPPLIERS, AND AGENTS FROM, AND COVENANT NOT TO ASSERT, CLAIMS ARISING FROM THE RISKS YOU ASSUME UNDER THIS AGREEMENT OR FROM YOUR SELECTION, POSSESSION, TRANSPORT, STORAGE, HANDLING, RESEARCH, TRANSFER, DISPOSAL, DIVERSION, OR PROHIBITED USE OF A MATERIAL, INCLUDING CLAIMS BASED ON ORDINARY NEGLIGENCE TO THE EXTENT SUCH A RELEASE IS LAWFUL. YOU ACKNOWLEDGE THAT ACCESS TO THIS PRIVATE RESEARCH CATALOG IS NOT AN ESSENTIAL PUBLIC SERVICE, THAT YOU MAY DECLINE ACCESS AND SEEK RESEARCH INFORMATION OR MATERIALS ELSEWHERE, AND THAT YOU HAVE HAD THE OPPORTUNITY TO READ, RETAIN, AND SEEK INDEPENDENT ADVICE ABOUT THIS AGREEMENT BEFORE ACCEPTING IT. YOU ACCEPT THIS AGREEMENT VOLUNTARILY AND WITHOUT COERCION. THIS RELEASE DOES NOT APPLY TO A CLAIM THAT APPLICABLE LAW PROHIBITS RELEASING, OR TO THE EXTENT A FINAL NONAPPEALABLE JUDGMENT DETERMINES THAT THE CLAIM RESULTED FROM THE RELEASED PARTY’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.

Indemnification
To the maximum extent permitted by law, you and any bound Organization will defend, indemnify, and hold harmless Stack Research and its members, managers, personnel, contractors, suppliers, and agents from third-party claims and governmental investigations or actions, and from resulting losses, liabilities, penalties, judgments, recalls, costs, and reasonable attorneys’ fees, arising from inaccurate account or authority information; breach of this Agreement; violation of law; your research, handling, storage, transportation, transfer, or disposal; diversion; representations to others; or human or veterinary use. Stack Research will provide reasonably prompt notice when practicable and may control the defense with counsel of its choice; you will reasonably cooperate, and no settlement that admits fault by or imposes a nonmonetary obligation on an indemnified party may be entered without its written consent. This obligation does not apply to the extent a final nonappealable judgment determines that the matter resulted from that indemnified party’s gross negligence, willful misconduct, or fraud.

Governing law and venue
This Agreement and disputes arising from it are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, and applicable federal law. To the extent permitted by law, each party irrevocably consents to exclusive personal jurisdiction and venue in a state court of competent jurisdiction in Wyoming in which venue is proper under applicable law or, when federal subject-matter jurisdiction exists, the United States District Court for the District of Wyoming, and waives objections to those forums based on personal jurisdiction or forum non conveniens. Nothing in this Agreement limits a right, remedy, jurisdiction, or forum that cannot lawfully be waived, the authority of a regulator or government agency, or Stack Research’s ability to seek temporary or injunctive relief in another court to prevent misuse, diversion, unauthorized access, or infringement.

Changes and renewed acceptance
Stack Research may revise this Agreement only prospectively. A revised Agreement will have a new version or effective date, and Stack Research may notify you through the site or verified email and require renewed affirmative acceptance before continued account access, inquiry submission, or any transaction. A revision does not retroactively alter the evidence or terms of an earlier acceptance. Continued browsing alone does not accept a revision when Stack Research designates the electronic reacceptance process; agreement occurs only when that process is completed.

General terms and contact
This Agreement is the entire agreement concerning research-catalog and account access and supersedes prior access acknowledgments, but it does not replace the Privacy Policy or later transaction-specific terms. The prohibited human- and animal-use and anti-diversion restrictions control any ambiguity and cannot be waived by an oral statement. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure or delay in enforcement is not a waiver. You may not assign this Agreement without written consent; Stack Research may assign it in connection with a merger, reorganization, financing, or transfer of business or assets. The assumption-of-risk, release, warranty, liability, indemnity, and survival provisions bind and benefit the parties and their respective successors, personal representatives, heirs, and permitted assigns to the maximum extent applicable. There are no other third-party beneficiaries. Headings are for convenience. Notices to Stack Research must be sent to support@stack-research.com or to Stack Research LLC, 7901 4th St N #29260, St. Petersburg, Florida 33702, USA (mailing address). Stack Research may send legal and account notices to your verified email; you are responsible for keeping it current.
After the required checkbox and email code are completed, Stack Research stores the account-holder name, Organization, category, verified email, complete Agreement version and text, UTC timestamp, linked record identifiers, and a keyed integrity value. The process does not intentionally add an IP address, user-agent string, device fingerprint, or biometric signature.
