These Terms govern use of the Stack Research website and its current inquiry-only research catalog.
1. Acceptance and scope
These Terms & Conditions (“Terms”) govern access to and use of this website, member accounts, catalog information, documentation requests, communications, and inquiries operated by Stack Research LLC, a Wyoming limited liability company (“Stack Research,” “we,” “us,” or “our”). By using the site, you agree to these Terms. If you do not agree, do not use the site. A separate affirmative acceptance is required for the Research Access and Use Agreement.
2. Eligibility and organizational authority
The research-access portions of the site are intended only for individuals age 21 or older acting in a professional or organizational capacity for lawful in-vitro laboratory or analytical research. If you act for an organization, you represent that the information you provide is accurate and that you have authority to act for it. Email verification is an account-security procedure and not proof of identity, licensure, authority, end use, or legal permission.
3. Research-use restrictions
Catalog information, documents, samples, and any materials discussed through Stack Research are not intended for use in or on humans or animals, self-experimentation, diagnosis, treatment, disease prevention, compounding for humans or animals, or any consumer, clinical, food, drug, cosmetic, medical-device, or veterinary purpose. The Research Agreement & Waiver contains the controlling access, prohibited-use, anti-diversion, assumption-of-risk, and electronic-signature terms and is incorporated into these Terms for members who accept it.
4. No medical or regulatory advice
The site does not provide medical, veterinary, pharmacy, toxicology, legal, or regulatory advice. Stack Research does not provide dosing, administration, reconstitution for human or animal use, clinical protocols, diagnoses, prescriptions, treatment recommendations, or assurances that a material or activity is approved, safe, effective, lawful, or suitable.
5. Inquiry-only commercial process
The site currently does not accept checkout, online payment, shipping instructions, or returns. Account creation, catalog access, a “Contact to purchase” submission, documentation, proposed pricing, a quotation, or correspondence is an invitation to discuss a potential transaction—not an offer capable of acceptance, an accepted order, or a promise to supply. Stack Research may request supporting information, restrict quantities or destinations, refuse a request, or discontinue communications.
6. Future accepted transactions
A sale exists only when Stack Research expressly accepts it in writing through an authorized process and all stated conditions are satisfied. The accepted quote, invoice, order acknowledgment, or other transaction-specific terms will govern product, quantity, price, tax, payment, destination, shipping, cancellation, returns, and remedies. The posted Refund and Shipping Policies form part of any future transaction unless the accepted transaction terms expressly provide otherwise. No transaction term or oral statement authorizes prohibited or unlawful use.
7. Catalog and documentation limitations
Names, descriptions, configurations, images, certificates, analytical reports, purity figures, safety information, availability, and other content may be supplier-provided, provisional, lot- or sample-specific, method-dependent, incomplete, superseded, or unavailable. A record applies only to what it expressly identifies. You must independently evaluate identity, quality, hazards, methods, controls, regulatory status, and suitability and must not rely on the site as the sole basis for a research, safety, purchasing, or compliance decision.
8. Accounts and security
You must provide accurate information, maintain control of your verified email and authenticated devices, prevent unauthorized use, and promptly notify Stack Research if access or an agreement record may be compromised. You may not impersonate another person or organization, share an account without authority, probe or bypass access controls, scrape protected content, introduce malicious code, disrupt the site, or use the site to facilitate unlawful conduct.
9. Suspension and changes to the service
Stack Research may restrict, suspend, or terminate access, refuse an inquiry, preserve relevant records, or modify or discontinue site features when reasonably necessary for security, suspected misuse, legal compliance, operational changes, or breach of these Terms. We do not guarantee that the site or any particular catalog record will remain available.
10. Intellectual property and permitted use
The site, design, logos, text, software, and original materials are owned by or licensed to Stack Research and protected by applicable law. Stack Research grants you a limited, revocable, nonexclusive, nontransferable right to use the site for its intended lawful business purpose. You may retain an agreement or policy for your records. You may not reproduce, republish, sell, modify, remove notices from, create derivative works from, or commercially exploit protected site content without written permission.
11. Third-party services and links
The site may rely on or link to third-party hosting, security, email, analytics, document, or other services. Those parties may apply their own terms and privacy practices. A link or integration does not constitute an endorsement, and Stack Research is not responsible for third-party content or services outside its control.
12. Privacy and communications
Personal information is handled as described in the Privacy Policy. Required verification, security, agreement, and inquiry-response messages are not marketing. Marketing is off by default and requires a separate choice. You are responsible for keeping your email current.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, ACCOUNTS, CONTENT, CATALOG, DOCUMENTS, AND COMMUNICATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” STACK RESEARCH DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING ACCURACY, COMPLETENESS, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, AVAILABILITY, AND RESULTS. RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED ARE NOT DISCLAIMED.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACK RESEARCH AND ITS MEMBERS, MANAGERS, PERSONNEL, CONTRACTORS, SUPPLIERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, DATA, RESEARCH, BUSINESS, OR OPPORTUNITY; OR DAMAGES ARISING FROM UNAUTHORIZED, PROHIBITED, OR UNLAWFUL USE. THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNT PAID DIRECTLY TO STACK RESEARCH FOR THE TRANSACTION GIVING RISE TO THE CLAIM DURING THE PRECEDING TWELVE MONTHS. THIS DOES NOT LIMIT LIABILITY THAT LAW PROHIBITS LIMITING.
15. Indemnification
To the maximum extent permitted by law, you and any organization you validly bind will defend, indemnify, and hold harmless Stack Research and its members, managers, personnel, contractors, suppliers, and agents from third-party claims, government actions, losses, liabilities, penalties, judgments, costs, and reasonable attorneys’ fees arising from inaccurate information, unauthorized account activity caused by your failure to secure access, breach of these Terms, violation of law, infringement, prohibited use, diversion, or representations you make to others. This obligation does not apply to the extent a final nonappealable judgment determines that the matter resulted from the indemnified party’s gross negligence, willful misconduct, or fraud.
16. Governing law and venue
These Terms are governed by Wyoming law, without regard to conflict-of-law rules, and applicable federal law. To the extent permitted by law, each party consents to exclusive personal jurisdiction and venue in a state court of competent jurisdiction in Wyoming in which venue is proper under applicable law or, when federal subject-matter jurisdiction exists, the United States District Court for the District of Wyoming, and waives objections to those forums based on personal jurisdiction or forum non conveniens. Rights, remedies, jurisdictions, and forums that cannot lawfully be waived, and government authority, are preserved.
17. Changes and general provisions
We may revise these Terms prospectively by posting an updated version and effective date. Material changes may also be communicated through the site or verified email. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Delay in enforcement is not a waiver. You may not assign these Terms without written consent; Stack Research may assign them in connection with a financing, reorganization, merger, or transfer of business or assets. These Terms, the Research Access and Use Agreement where accepted, the Privacy Policy, and applicable transaction terms form the entire agreement on their respective subjects.
